Terms of Service
These Terms of Service ("Terms") govern your access to and use of the websites, applications, and hosting services (collectively, the "Services") operated by UniqoHost LLC ("UniqoHost", "we", "us", or "our"). By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Services
We provide shared web hosting, virtual private servers (VPS), dedicated servers, managed WordPress hosting, business email hosting, domain name registration, and related add-on services. The specific features, resource limits, and technical specifications of each plan are described on the Services' product pages and incorporated by reference.
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and legally capable of entering into a binding contract to use the Services. You must provide accurate, complete, and current information when registering and keep it updated.
3. Account registration and security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at support@uniqohost.com of any unauthorized use. We are not liable for losses resulting from unauthorized account access caused by your failure to protect your credentials.
4. Acceptable use
Your use of the Services is governed by our Acceptable Use Policy, which is incorporated into these Terms. You agree not to use the Services for any unlawful, harmful, or abusive purpose, including but not limited to: distributing malware, operating phishing sites, sending unsolicited bulk email, infringing intellectual property, or interfering with our infrastructure or other customers.
5. Fees, billing, and auto-renewal
5.1 Prices
All prices for the Services are displayed in euros (EUR) on the applicable product pages. Prices shown exclude any applicable taxes, which will be added at checkout where required by law. Your payment method may be charged the local-currency equivalent based on the exchange rate set by your payment processor at the time of the transaction.
5.2 Payment
You authorize us to charge your chosen payment method for all fees incurred in connection with your use of the Services. Payment is due at the time of purchase for the entire billing period selected (e.g., 1, 3, 6, or 12 months). Payments are processed by third-party payment processors (Stripe and PayPal); we do not store your full payment card details.
5.3 Auto-renewal
Services renew automatically at the end of each billing period at the then-current price unless you cancel at least 24 hours before the renewal date through your account dashboard or by contacting billing@uniqohost.com. You will receive a renewal notice by email before any automatic charge.
5.4 Late payment and suspension
If a payment fails or is declined, we may suspend the affected Services after reasonable notice. Services that remain unpaid for more than 15 days may be terminated and data may be deleted.
5.5 Descriptor
Charges will appear on your statement as UNIQOHOST.
6. Refunds and cancellation
Our Refund Policy describes your rights to cancel and request refunds, including our 30-day money-back guarantee for eligible plans. The Refund Policy is incorporated into these Terms.
7. Service level and uptime
We target 99.9% monthly uptime for shared hosting, managed WordPress, VPS, and dedicated server plans, as further described in our Service Level Agreement (SLA). Service credits are the sole and exclusive remedy for uptime failures.
8. Customer content and data
8.1 Your ownership
You retain all rights in the content, files, and data you upload or create using the Services ("Customer Content"). You grant us a limited, non-exclusive license to host, cache, transmit, back up, and display the Customer Content solely to provide the Services.
8.2 Your responsibility
You are solely responsible for the legality, accuracy, and integrity of your Customer Content and for maintaining your own backups. Although we perform routine backups, we do not guarantee the recovery of lost data.
8.3 Removal
We may remove or disable access to Customer Content that violates these Terms, the Acceptable Use Policy, or applicable law.
9. Intellectual property
The Services, including all software, designs, trademarks, and content we provide, are owned by UniqoHost LLC or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works of the Services except as expressly permitted.
10. Third-party services
The Services may integrate with third-party software and services (such as cPanel, Plesk, WordPress, Let's Encrypt, Stripe, PayPal, and domain registrars). Your use of third-party services is governed by their respective terms, and we are not responsible for them.
11. Warranties and disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL UNIQOHOST LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. OUR AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify, defend, and hold harmless UniqoHost LLC and its officers, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your Customer Content, or your violation of these Terms or applicable law.
14. Termination
You may cancel your account at any time from your dashboard. We may suspend or terminate the Services at any time for material violation of these Terms, non-payment, or as required by law. Upon termination, your right to use the Services ceases and we may delete your account and Customer Content after a reasonable grace period.
15. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced by email and/or a notice on the Services at least 14 days before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
16. Governing law and disputes
These Terms are governed by the laws of the State of [STATE], United States, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in [STATE], and you consent to the personal jurisdiction of those courts.
